1. About these terms

These terms are issued by INV Global Group Ltd, a company with its operating address at 124-128 City Road, London - EC1V 2NX, United Kingdom (GB). They apply to the website at invglobal.mom and to the administration services described on it. Where the firm enters into a written engagement letter or a services agreement with a client, that document governs the relationship and these terms apply in support of it. If the two conflict, the signed engagement document prevails to the extent of the conflict.

A person who does not agree with these terms should not use the website and should not engage the firm. A person who uses the website confirms that they have read and understood these terms. Where a person uses the website on behalf of an organisation, that person confirms that they are authorised to do so and that the organisation accepts these terms.

Nothing in these terms removes a right that a consumer may have under mandatory law. The services of the firm are intended mainly for businesses, and the firm does not present itself as a supplier of services to individual consumers.

2. Definitions

The following words have the meanings given below in these terms.

  • The firm means INV Global Group Ltd and the staff who work in its filing room.
  • The client means the person or organisation that engages the firm for administration services.
  • The website means the pages published at invglobal.mom and any related subdomain.
  • A paper means a document received, checked, registered or filed in the course of the services.
  • A folio means the reference under which a paper and its related correspondence are recorded.
  • A service means any of the six desks described on the services page, namely subscription paper desks, distribution calendars, portfolio filing runs, investor statement cycles, registry corrections and annual return binders.
  • Business hours means 09:00 to 17:30 London time on a day that is not a Saturday, a Sunday or a public holiday in England.

3. Scope of services

The firm provides administrative services to investment managers, family offices and private holding companies. Its work is to receive papers, verify them, register them, place them in the filing room, issue statements and notices on an agreed schedule, record corrections and assemble annual returns. The firm acts as an administrator and not as an adviser, a manager or a broker.

The firm does not provide investment advice, does not make recommendations about any investment, does not manage a portfolio and does not accept discretion over any asset. Where a person needs advice of that kind, they should consult an authorised adviser. The firm will not answer a question that requires such advice except to say that the question falls outside its remit.

The services are provided on the basis of the papers and instructions supplied by the client. The firm is entitled to rely on the accuracy and completeness of those papers and instructions and does not verify facts that a paper is not designed to establish, such as the commercial wisdom of a transaction or the suitability of an investment for an investor.

4. Engagement and instructions

An engagement begins when the firm accepts a written instruction and issues a control sheet. The control sheet records the structure, the desks involved, the reporting cycle and the first delivery dates. Where the firm has not accepted an instruction, no duty to act arises, even if papers have been sent to the filing room.

The client agrees to provide accurate contact details for the persons authorised to give instructions and to update those details when they change. The firm will act on an instruction from an authorised person and may, where a matter is unusual or significant, ask for confirmation in writing before acting. The firm may decline an instruction that falls outside the services, that appears unlawful or that would require it to act outside the scope described in these terms, and will explain the reason for declining.

Instructions may be given by email, by letter or through the contact form on the website. A telephone call may open a matter, but the firm will not complete a change to a register on the basis of a call alone. The written confirmation is recorded against the folio and forms part of the file.

5. Fees and invoicing

Fees are set out in the engagement document or in a fee schedule agreed with the client. Unless the engagement states otherwise, fees are quoted in pounds sterling and are exclusive of value added tax and of any disbursement such as courier charges, printing or document storage. The firm will give reasonable notice of any change to its fees.

Invoices are issued monthly in arrears unless another cycle is agreed. Payment is due within thirty days of the invoice date. The firm may charge interest on a late payment at a reasonable rate permitted by law and may suspend work where an invoice remains unpaid after a reminder. Suspension does not relieve the client of the obligation to pay for work already carried out.

Where a client cancels an instruction after work has begun, the firm may charge for the work carried out up to the date of cancellation, including any disbursement already incurred. A fee estimate is not a fixed price unless the engagement says that it is. The firm will always explain a charge that the client did not expect, and will correct an invoicing error promptly.

6. Client responsibilities

The client is responsible for the accuracy and completeness of the papers and instructions it supplies. The client agrees to provide the information the firm needs in good time, to answer a query within a reasonable period and to tell the firm promptly if something supplied turns out to be wrong.

  • To ensure that every paper is properly signed by a person with authority to sign it.
  • To supply evidence of authority where the firm reasonably requests it.
  • To keep the firm informed of any change to an investor, a holding or an authorised person.
  • To comply with the law that applies to the client and to the structure.
  • To pay the fees and disbursements properly due.
  • Not to send special category information unless it is genuinely required for the administration.

Where a client fails to meet these responsibilities, the firm will still act with care but may not be able to complete a task on time. The firm will record the shortfall, will inform the client of the effect and will continue as soon as the missing item arrives.

7. Papers, records and custody

Papers received by the firm are registered on arrival and are placed on the appropriate desk. The firm keeps a record of the date of receipt, the source and the folio number. Original papers are held in the filing room in a controlled space, and electronic copies are held in an access controlled system. The firm will return an original paper on a written request and will record the return.

The firm takes reasonable care of papers in its custody, but it is not an insurer. Where a client needs protection against loss of an original document, the client should arrange that protection separately. The firm will cooperate fully with any claim made under a policy held by the client, and will provide the records needed to support the claim.

Records are retained in accordance with the retention periods described in the privacy policy. At the end of a retention period a record is destroyed in a secure manner unless a legal hold, a complaint or an investigation requires it to be kept. A client who would like an original document returned before the end of the retention period should ask in writing and the firm will arrange the return.

8. Deadlines and cut-off times

Each desk works to a stated cut-off. Papers received by 17:30 on a working day are registered that day. Papers received later are registered on the next working morning. Distribution releases are prepared so that the approval trail is complete by 16:30, which allows a same day release. Statement cycles and filing runs close on the date published in the engagement document.

Where a statutory deadline applies, the firm will work to it and will give the client notice of the date in advance. The firm cannot be responsible for a missed deadline where the client has not supplied a required item despite a written request. In that situation the firm will record the request, the date on which it was made and the date on which the item arrived, so that the position is clear.

A change to a published cut-off is made only in writing. A member of staff may agree to a variation for a particular matter, but the variation is recorded against the folio so that it does not become an unspoken habit. The firm will tell the client if a pattern of late papers is putting a deadline at risk.

9. Use of the website

The website is provided for information about the firm and its services. A person may view the pages and may print a copy for personal reference. A person must not attempt to gain unauthorised access to the website or its systems, must not interfere with its operation, must not introduce malicious code and must not use the website to send unlawful, misleading or abusive content.

The contact form is provided as a convenience. It opens a mail program on the device of the visitor with the message addressed to invest@invglobal.mom. The firm does not receive the message until the visitor sends it, and the firm is not responsible for a message that is never sent. A person who needs a guaranteed response should use the email address or the telephone number given on the contact page.

The firm may suspend access to the website for maintenance or for a security reason. It will restore access as soon as it reasonably can. The firm does not warrant that the website will be free of error or available without interruption, and it does not warrant that a page reflects the most recent change to a service or a fee.

10. Intellectual property

The text, layout, design and code of the website belong to INV Global Group Ltd or are used with permission. A person may not copy, adapt, republish or commercially exploit the website or a substantial part of it without written consent. A short quotation for the purpose of review or commentary is permitted where the source is clearly acknowledged.

The name INV Global Group Ltd and the visual identity used in the filing room are the property of the firm. No licence to use them is granted by these terms. A person who wishes to link to the website may do so, provided the link is accurate and does not suggest a relationship that does not exist.

Material supplied by a client remains the property of the client. The client grants the firm the right to use that material for the purpose of carrying out the services, including the right to store it in the filing room and to share it with a service provider where that is necessary to do the work.

11. Confidentiality

The firm treats the information it receives as confidential. Staff are bound by confidentiality, access is limited to those who need it for a task, and a paper is not discussed outside the filing room except where the work requires it. The firm uses the information only for the services and for the purposes described in the privacy policy.

The duty of confidence is subject to exceptions. The firm may disclose information where the client consents, where a law requires it, where a court orders it, or where disclosure is necessary to protect a legal right. Where a disclosure is required by law, the firm will give the client notice unless it is prohibited from doing so.

The firm may refer to the existence of an engagement in a general way, for example when confirming that it is the administrator of a named structure, but it will not publish the details of a client affairs without written consent. A client who prefers that the engagement remain wholly private should tell the firm at the start, and the firm will record that preference.

12. Third parties

The firm may use a service provider for hosting, printing, courier or document storage. It chooses a provider with care and requires confidentiality and appropriate security. The firm remains responsible for the service it has promised, even where a part of the work is carried out by a provider on its behalf.

The firm is not responsible for the acts of a third party that it does not control, such as a bank that delays a payment, a registry that takes time to process a form or a client adviser who supplies an incomplete document. Where a third party causes a delay, the firm will tell the client promptly, will follow up and will record what has happened. The firm will not charge for time spent correcting an error that it caused.

A reference on the website to another organisation does not create a partnership, an agency or a joint venture. A third party has no right to enforce a term of these terms unless the law provides otherwise.

13. Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or for any liability that cannot be limited by law. Subject to that, the following limitations apply.

  • The firm is not liable for a loss that arises from an inaccurate or incomplete paper supplied by the client.
  • The firm is not liable for a loss of profit, a loss of business or an indirect loss, except where the law does not allow that exclusion.
  • The total liability of the firm under an engagement is limited to the fees paid for the services giving rise to the claim, or to the amount stated in the engagement document, whichever is higher.
  • The firm is not liable for a loss caused by an event beyond its reasonable control.

The firm maintains professional indemnity cover appropriate to the services it provides and will give details of that cover to a client on request. A claim should be notified as soon as the client becomes aware of the matter so that the firm can investigate and, where possible, put it right.

14. Termination

Either party may terminate an engagement by giving thirty days notice in writing. The firm may terminate immediately where a client fails to pay an invoice after a reminder, where a client asks the firm to act unlawfully, or where continuing the engagement would place the firm in breach of a legal or regulatory duty.

On termination the firm will complete any instruction already accepted where it is reasonable to do so, will return original papers on request and will provide the client with a list of the records it holds. Records are retained in accordance with the retention periods described in the privacy policy. Fees for work carried out before termination remain payable.

A handover to another administrator is carried out from a written list, item by item, and is not declared complete until each item has arrived or has been formally recorded as outstanding. The firm will cooperate with the client and with the incoming administrator to make the handover orderly. The client remains responsible for any fee due for the handover work where the engagement provides for one.

15. Events beyond control

An event beyond control includes a storm, a flood, a fire, a failure of a public utility, a widespread failure of telecommunications, an epidemic, a civil disturbance, a strike or an act of a public authority. Where such an event prevents the firm from carrying out a service, the firm will tell the client as soon as it can, will take reasonable steps to reduce the effect and will resume work as soon as it is able.

A deadline affected by such an event is extended by the length of the delay, but only to the extent that the law allows. Where a statutory deadline cannot be extended, the firm will do everything reasonable to complete the task and will keep the client informed of the position. Neither party is liable to the other for a failure caused by such an event, provided the party affected has acted reasonably.

16. Governing law and disputes

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over a dispute arising from these terms or from an engagement, unless a mandatory rule provides otherwise.

Before starting proceedings, the parties will try to resolve a dispute through discussion. A party who wishes to raise a dispute should write to the other with a description of the matter and the outcome sought. The firm will acknowledge the letter within five working days and will propose a meeting or a written exchange. If the dispute is not resolved within thirty days, either party may take the matter further.

A complaint about the handling of personal information is dealt with under the privacy policy and may also be raised with the Information Commissioner Office. A complaint about a service is dealt with under this section. Nothing in this section prevents a party from seeking urgent relief from a court where that is necessary.

17. Changes to these terms

The firm may update these terms from time to time to reflect a change in the services, in the law or in the way the filing room works. The date at the top of the page shows when the terms were last updated. Where a change is significant, the firm will give notice to clients before the change takes effect.

An existing engagement continues under the terms in force when it began unless the engagement document says otherwise or unless the client agrees to the updated terms. A person who continues to use the website after a change accepts the updated terms for that use. A copy of an earlier version is available on request to invest@invglobal.mom.
